True Tally provides remote accounting, bookkeeping, and related financial services as described on our Service (collectively, the "Services"). The specific scope of Services to be provided to you will be outlined in a separate agreement or engagement letter if applicable.

You are solely responsible for the accuracy and completeness of the data and information you provide to True Tally. We will rely on this information to provide our Services and are not responsible for errors or issues arising from inaccurate or incomplete information provided by you.
Fees for our Services will be set forth in a separate engagement letter or service agreement. Unless otherwise agreed, payment is due upon receipt of invoice, net 30 days].
If you fail to pay any fees due, we reserve the right to suspend or terminate your access to the Services. All fees are in USD and are non-refundable except as may be expressly provided in an engagement letter or as required by law.
You are responsible for all taxes associated with your purchase of Services (such as sales tax), excluding taxes based on our net income.
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of True Tally and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of True Tally.
You grant True Tally a limited, non-exclusive, royalty-free license to use the information and materials you provide to us solely for the purpose of providing the Services to you.
True Tally agrees to maintain the confidentiality of your proprietary and non-public information ("Confidential Information") that you provide to us in connection with the Services, in accordance with applicable professional standards and legal requirements. We will not disclose your Confidential Information to third parties except as described in our Privacy Policy, as required by law, or with your express consent.
Similarly, you agree to maintain the confidentiality of any proprietary information of True Tally that you may be exposed to.
The Service and our Services are provided on an "AS IS" and "AS AVAILABLE" basis. True Tally makes no representations or warranties of any kind, express or implied, as to the operation of their Service, or the information, content, or materials included therein. You expressly agree that your use of the Service and our Services is at your sole risk.
While we strive to provide accurate and timely services, True Tally does not warrant that the services will be error-free, uninterrupted, or that defects will be corrected. We are not financial advisors, and our services should not be construed as financial, investment, legal, or tax advice. You should consult with qualified professionals for such advice.
In no event shall True Tally, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; (iv) unauthorized access, use, or alteration of your transmissions or content; and (v) the provision of our Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Our maximum aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall be limited to the amount of fees paid by you to True Tally for the Services in the three (3) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless True Tally and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service or Services, by you or any person using your account and password; b) a breach of these Terms, or c) content or information provided by you to us.
These Terms shall be governed and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You may terminate your use of the Services in accordance with any separate engagement letter or service agreement.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
